Consular legalization of economic contracts is a necessary process to ensure the legal validity of contracts used abroad. This service helps businesses guarantee that their contracts are legally recognized, avoiding legal risks in international transactions.
Why Is Consular Legalization of Economic Contracts Necessary?
An economic contract is a document that represents an agreement between individuals or organizations to perform a task or fulfill an obligation, thereby establishing the legal rights and responsibilities of the parties involved.
In the context of expanding international trade, many contracts are drafted bilingually, such as Vietnamese–English, Vietnamese–Chinese, or Vietnamese–Korean. However, there are still cases where contracts are prepared in a single language, most commonly English.
For these contracts to be legally recognized in Vietnam, individuals or organizations must undergo the consular legalization process. Consular legalization of economic contracts is a solution chosen by many businesses and organizations. This procedure confirms the authenticity of the seals, signatures, and titles of the signatories on the contract, ensuring that the documents are legally valid and accepted in Vietnam.

Some contracts do not require consular legalization, including:
- Contracts established under international treaties to which both Vietnam and the partner country are signatories. According to these treaties, parties are not required to perform consular legalization.
- Contracts transmitted through diplomatic channels between competent authorities of Vietnam and the international partner, which exempts these contracts from consular legalization requirements.
- Contracts drafted and executed under Vietnamese law without any involvement of international elements, and therefore do not need consular legalization.

Processing Time and Validity of Consular Legalization for Economic Contracts
To carry out consular legalization, individuals or organizations must prepare a complete set of documents and submit them to the Ministry of Foreign Affairs or Vietnamese representative offices abroad.
The required documents include the contract already certified by the foreign authority, a copy of the foreign contract, the consular legalization declaration form according to the new template, the translated contract along with a copy of the translation, and a copy of the applicant’s identification document.
Processing Time
After receiving a valid submission, the Ministry of Foreign Affairs or the Vietnamese representative office abroad will process the consular legalization within no more than 7 working days. In most cases, the procedure is completed within 1 working day from the date of receipt. If the submission includes more than 10 documents, processing may take up to 5 working days.
Validity Period
When an economic contract is consularly legalized in Vietnam, the certification is valid for 3 months. If legalized in other countries, the validity period depends on the regulations of that country.
